1. Service provider
EasySyncPOS is a service provided by APDSoftware, Via C. Colombo 15, 24047 Treviglio (BG), Italy, VAT no. IT03835250162, email [email protected] (hereinafter "the Provider").
2. Scope
These terms govern access to and use of EasySyncPOS, a cloud software service for point-of-sale and inventory management, including the website, the client applications and the related APIs. By creating an account you confirm that you have read and accepted these terms.
3. Account and registration
- You must provide truthful and complete information and keep it up to date.
- The service is intended for parties acting in the course of a business or professional activity; it is not aimed at people under 18.
- You are responsible for keeping your credentials confidential and for all activity carried out through your account, and you must report any unauthorised use promptly.
4. Acceptable use
You may not:
- use the service for unlawful purposes or in breach of the law;
- attempt to access areas, data or instances belonging to other customers, or compromise the security and availability of the infrastructure;
- decompile, reverse engineer or resell the service without written authorisation;
- upload content that infringes third-party rights or applicable regulations.
5. Availability and maintenance
The Provider undertakes to ensure the best possible continuity of the service, without however guaranteeing uninterrupted or error-free operation. Interruptions are possible for scheduled maintenance, normally announced in advance, and for causes outside the Provider's control. Any service levels (SLAs) apply only if expressly agreed in writing.
6. Customer data and privacy
The data you enter remains yours. The Provider processes it in order to deliver the service, acting as a processor under Art. 28 GDPR where applicable. How the data is processed is described in the Privacy Policy.
The Provider applies appropriate technical and organisational measures to protect the data, including periodic backups; you are still advised to keep your own exports of the data that is critical to your business.
7. Intellectual property
The software, the trademark, the documentation and every graphic element of EasySyncPOS remain the exclusive property of the Provider. You are granted a non-exclusive, non-transferable and revocable licence to use them, limited to the duration of the relationship and to the purposes set out in these terms.
8. Fees and invoicing
The applicable commercial terms are those stated and accepted when the service is subscribed to. Unless otherwise agreed in writing, fees are payable in advance and are not refundable for parts of a period already started. Changes are communicated with reasonable notice and give the right to withdraw without penalty before they take effect.
9. Term, withdrawal and suspension
- The relationship lasts for the term agreed at subscription and renews unless cancelled within the agreed notice period.
- You may close your account at any time by writing to [email protected].
- The Provider may suspend or terminate the service in the event of a material breach of these terms or of non-payment, after prior notice except in cases of urgency or security.
- On termination you may request an export of your data within 30 days, after which the data may be deleted.
10. Limitation of liability
To the extent permitted by law, the Provider is not liable for indirect damages or for loss of profit, goodwill or data arising from the use of, or inability to use, the service. Liability for wilful misconduct and gross negligence, and any liability that cannot be excluded by law, remain unaffected. The amount of any caps must be defined in the contract and submitted to the professional reviewing this document.
11. Changes to these terms
The Provider may update these terms. Substantial changes are communicated to registered users with reasonable notice; continuing to use the service after they take effect constitutes acceptance.
12. Governing law and jurisdiction
The relationship is governed by Italian law. Disputes fall under the jurisdiction of the courts where the Provider has its registered office, unless a mandatory provision of law states otherwise. Whether this clause is enforceable against a given counterparty is one of the points to verify with legal counsel.
